Metadancer Images Royalty-Free Licensing Agreement

1. Parties and definitions

This agreement is between Oliver Marquardt – Business Consultant, Kleine Witschgasse 8, 50676 Cologne, Germany (“Metadancer”, “we”, “us”) and the purchaser named in the applicable order (“you”, “Licensee”). “Image” means the specific Metadancer Images asset identified in your order. “Work” means a finished project in which the Image is incorporated.

2. Licence grant

Subject to payment in full and compliance with this agreement, Metadancer grants you a perpetual, worldwide, non-exclusive, non-transferable and non-sublicensable Standard Royalty-Free Licence to reproduce, display, transmit and modify the Image as incorporated in a Work. The licence is commercial and applies to all media, including websites, social media, digital advertising, presentations, editorial and promotional materials, packaging, broadcasts and printed marketing materials.

The licence permits unlimited web, social-media and digital impressions, and up to 500,000 physical copies or printed reproductions of the Image in the aggregate. The S, M, L and XL options specify the delivered file resolution only; each purchase receives this same Standard RF Licence.

3. Team, contractors and client work

You may make the Image available to your employees and contractors only as needed to create, reproduce or distribute your Work, provided they are bound by restrictions at least as protective as these. If you acquire an Image for a client, you may transfer the licence once to that client as part of the completed Work, provided the client accepts these restrictions. A separate licence is required for each additional client, employer or independent principal.

4. Permitted modifications

You may crop, resize, retouch, combine or otherwise modify the Image for a permitted Work. No modification grants you ownership of the underlying Image or removes the restrictions in this agreement.

5. Restrictions

You may not: distribute, sell, license, share or make available the Image as a standalone file; enable third parties to extract or reuse the Image; use the Image in a logo, trademark, service mark or other source identifier; use it in a template, wallpaper, print-on-demand product, merchandise or other product for resale where the Image is the primary value; use it for unlawful, defamatory, deceptive, pornographic or otherwise offensive purposes; use it in a manner that implies endorsement by a depicted person or organisation; or use it in connection with sensitive subjects in a way that is misleading or reasonably likely to cause harm.

You may not use the Image to train, fine-tune or develop an artificial-intelligence, machine-learning or similar model, dataset or service, nor permit an Image to be included in a dataset made available for that purpose.

6. Ownership and releases

The Image is licensed, not sold. Copyright and all other rights remain with Metadancer and/or the relevant rights holder. Where an Image includes people or property, Metadancer makes available the permissions and releases applicable to the asset as required for its intended commercial RF licensing. You remain responsible for assessing whether your particular use needs additional clearances, permissions or legal review.

7. No exclusive rights; withdrawal

The licence is non-exclusive. Metadancer may license the same Image to others and may stop offering it for future licensing. Withdrawal from the catalogue does not terminate a licence validly acquired before withdrawal, unless termination is required because of a breach of this agreement, fraud or a legal obligation.

8. Warranty, indemnity and liability

Metadancer warrants that it has the authority necessary to grant the rights expressly stated in this agreement. Except for this limited warranty and to the extent permitted by law, the Image and service are provided as available. You will indemnify Metadancer against third-party claims arising from your use of an Image outside the rights granted by this agreement. Nothing limits liability that cannot be limited under applicable law.

9. Termination

This licence terminates automatically if you materially breach this agreement and do not cure the breach within a reasonable period after notice where a cure is possible. On termination, you must stop new uses of the Image and delete accessible copies, except where retention is required by law. Finished Works lawfully distributed before termination need not be recalled unless required by law or a court.

10. General

This agreement and the order record are the entire agreement for the Image. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; mandatory consumer-protection rules remain unaffected. Where legally permitted, Cologne, Germany is the exclusive place of jurisdiction. Questions can be sent to hello@metadancer-images.com.
